Agreement Overview

This Terms of Service agreement is between WP Keepers (“we”, “us”, or “our”) and you (“client”, “customer”, or “you”).

In Summary: You are engaging WP Keepers to provide professional WordPress website management, maintenance, and related services. Our relationship is built on mutual respect, clear communication, and professional excellence.

By using our services, accessing our website, or placing an order, you agree to these terms and our Privacy Policy.

Our Services

WP Keepers provides WordPress management and maintenance services designed to keep your website secure, updated, and performing optimally. Our services are preventive maintenance and ongoing management. Our service should not be used as emergency repair – this is a standalone service offered separately.

Service Scope

  • WordPress core, theme, and plugin updates
  • Daily automated backups with secure storage
  • Security monitoring and malware protection
  • Performance optimization
  • Content updates and minor site modifications
  • Technical support during business hours

Important Service Limitations

Abandoned Themes, Plugins & Code: WordPress websites often use third-party themes, plugins, or custom code. When developers stop maintaining their products, this can create security vulnerabilities, compatibility issues, or functionality problems.

We cannot fix issues caused by abandoned or outdated components that are no longer supported by their original developers. In such cases, we will recommend suitable alternatives and can assist with migration to supported solutions (additional fees may apply).

Pre-existing Issues: Our maintenance services begin with your site in its current condition. We will address minor issues during onboarding at our discretion, but significant pre-existing problems may require separate remediation work.

Premium Themes & Plugins: Premium themes and plugins that you currently use are not covered by our standard services – you must provide valid licenses for these premium components. In some cases, we may provide premium theme licenses, but we are not obliged to do so. We can offer premium themes and plugins when requested by the client, but additional fees will apply.

Mutual Responsibilities

Your Responsibilities:

  • You have authority to enter this agreement for yourself or your organization
  • Provide necessary access credentials, information, and assets when requested
  • Respond to our communications within reasonable timeframes
  • Review and approve our work in a timely manner
  • Maintain current payment information for recurring services

Our Responsibilities:

  • Deliver services professionally and within agreed timeframes
  • Maintain your website’s security and performance using industry best practices
  • Provide clear communication about service status and any issues
  • Respond to support requests during business hours
  • Maintain confidentiality of your business information

Communication & Response Times

Client Response Requirements: Effective maintenance requires timely communication. If you don’t respond to our requests for information or approval within 5 business days, we reserve the right to proceed based on our professional judgment or temporarily pause work until we receive your input.

Emergency Situations: For critical issues affecting site availability, we may take immediate action to restore service and notify you afterward.

Content & Materials

Text Content

Unless specifically included in your service package, content creation and copywriting are not part of standard maintenance services.

Images & Media

You are responsible for providing images and media files. When possible, provide high-quality files in appropriate formats (JPG, PNG, or WebP for images).

Intellectual Property

  • You guarantee ownership or proper licensing for all materials you provide
  • You agree to protect us from any third-party intellectual property claims
  • We guarantee proper licensing for all tools, themes, and resources we implement
  • We will protect you from claims related to our provided materials

Search Engine Optimization (SEO)

Our maintenance services include basic SEO best practices (proper URL structure, meta tags, image optimization, and site speed). Comprehensive SEO services are available as a standalone service.

Changes & Additional Work

Included Updates

Your service plan includes specific types of content updates and minor modifications as outlined in your package details.

Additional Work

Requests beyond your plan’s scope, including:

  • Major design changes or redesigns
  • New page creation or significant content additions
  • Plugin or theme migrations
  • Custom development work

These services are available upon quotation after analyzing the client’s needs and specific requirements, with prior approval.

Payment Terms

Billing & Payment

  • All services are billed in advance (3 months, 6 months, or yearly payment options)
  • Payments accepted via credit/debit card or bank transfer
  • Automatic payment setup is recommended to avoid service interruptions
  • We reserve the right to update pricing with 30 days written notice

Late Payment & Suspension

  • Accounts become overdue 7 days after the due date
  • Services may be suspended after 10 days past due
  • Accounts are terminated after 30 days of non-payment
  • Terminated accounts result in permanent data deletion

Service Terms & Termination

Contract Duration

This agreement begins upon service activation and continues monthly until terminated by either party.

Termination Notice

Either party may terminate this agreement with 30 days written notice. We may terminate immediately for:

  • Non-payment of services
  • Violation of these terms
  • Use that endangers our systems or other clients
  • Illegal activities or content

Data & Website Ownership

  • You own your website, content, and data
  • Upon termination, we provide a final backup (available for 30 days)
  • After 30 days, all data is permanently deleted from our systems
  • Website migration to new providers is your responsibility

Support & Business Hours

Standard Support Hours: Sunday – Thursday, 9:00 AM – 5:00 PM (GMT+1)

Emergency Support: Critical issues affecting site availability are monitored 24/7. For emergencies outside business hours, contact us at hello@wpkeepers.com.

Response Times:

  • Emergency issues: Within 2 hours during business hours
  • Standard requests: Within 24 hours during business days
  • Non-urgent updates: Within 3-5 business days

Limitations & Disclaimers

Service Limitations

While we maintain high standards and use industry best practices, we cannot guarantee:

  • 100% uptime (this depends on your hosting provider – we monitor uptime and respond to issues)
  • Complete protection against all security threats (we don’t guarantee protection when clients use compromised plugins or misuse their website, though we offer best practice guidance)
  • Compatibility with all future WordPress updates or third-party plugins

Liability Limitations

Our liability is limited to the monthly service fee you pay. We are not liable for:

  • Lost profits, data, or business opportunities
  • Indirect, incidental, or consequential damages
  • Issues caused by third-party services or hosting providers
  • Problems arising from abandoned themes, plugins, or custom code

Portfolio & Marketing Rights

We reserve the right to:

  • Display your website in our portfolio and marketing materials
  • Reference your business as a client (with your permission)
  • Use anonymized case studies for educational content

If you prefer not to be featured, please notify us in writing.

General Legal Terms

Contract Modifications

We may update these terms with 30 days notice. Continued use of our services constitutes acceptance of updated terms.

Governing Law

This agreement is currently governed by the laws of Algeria. As we expand our services, European Union laws may also apply depending on your location and the nature of any dispute.

Dispute Resolution

We prefer to resolve issues through direct communication. For formal disputes, we agree to good-faith mediation before pursuing legal action.

Severability

If any part of this agreement becomes invalid or unenforceable, the remaining provisions continue in full effect.
